We are looking for a Manager for our Transaction Advisory Services group, to work on the financial due diligence team. Responsibilities of the position are:

Takes a lead in executing the due diligence procedures. Understands the engagement scope and assists more junior members in performing the procedures assigned to them. Responsible for writing significant parts of the report deliverable and communicating findings to the client.

Main duties of the position are:

•„      Analyze core income statement, balance sheet and cash-flow areas.

•„      Analyze non-accounting information to assess how it relates to financial performance.

•„      Understand the basic procedures carried out to assess the robustness of the numbers eg analytical review, historical accuracy of budget, key reconciliations, review of auditors' files.

•„      Identify findings that may represent potential deal breakers and/or contract negotiating points, and communicate to project leader.

•„      Assemble basic information (eg spreadsheets) that may assist the client in drafting and/or negotiating the purchase and sale agreement.

•„      Challenge the target's accounting principles and policies, the effectiveness of the target's internal controls, as well as the auditors' procedures and conclusions.

•„      Identify the key performance indicators of the target and the key drivers of profitability and cash generation.

•„      Correlate underlying assumptions in financial projections to findings noted during analysis of historical financial information, and identify major inconsistencies.
